Terms for organisational customers.
These terms apply to orders placed with Direct Lab Supplies Ltd by businesses, universities, charities and other organisations.
1. Who may order
We supply businesses, universities, charities and other organisations only. We do not accept orders from individuals acting as consumers. By placing an order, you confirm that you are authorised to buy on behalf of an organisation and are not acting as a consumer.
2. How to place an order
Select the catalogue number, specification and sales pack, add the required quantity to your basket, review and correct the basket, and continue to Shopify checkout. At checkout, enter the delivery and payment details, review the total and submit the order. The contract language is English.
Product listings and quotations are invitations to place an order. Your submitted order is an offer to buy. An automated receipt or payment acknowledgement confirms receipt only and is not acceptance. A contract is formed when we send a written order-acceptance or dispatch confirmation. If we cannot accept an order after payment has been authorised or taken, we will cancel or refund the affected amount.
3. Products and documentation
Check the catalogue number, specification, sales pack, intended application and equipment compatibility before ordering. Product information is based on the applicable manufacturer material, but requirements vary by catalogue number and may be updated. Follow the current manufacturer manual, Safety Data Sheet, label and storage instructions supplied or linked for the product.
Product-selection or technical support is general information and does not guarantee compatibility, performance or a particular research outcome. Tell us before ordering if acceptance depends on a specific written requirement.
4. Prices, VAT, delivery charges and payment
Prices are in pounds sterling and exclude VAT unless expressly stated otherwise. UK VAT at 20% normally applies. Certain qualifying charity-funded medical or veterinary research purchases may be eligible for zero-rating only where all statutory conditions are met and we receive a valid eligibility declaration before supply. VAT relief is not automatic; contact us before checkout if you believe an order qualifies.
Delivery charges and the estimated VAT-inclusive total are shown at checkout or confirmed in a quotation. The final VAT treatment is shown on the invoice. Payment is taken using the method offered at checkout or agreed in writing. If a material price or product-information error is identified before acceptance, we will ask whether you wish to order on the corrected terms or cancel; any affected payment already taken will be refunded if the order is cancelled.
5. Availability and delivery
Free standard mainland UK delivery applies where the discounted product subtotal is at least £100 excluding VAT. Mainland UK only; excludes Northern Ireland and islands.
In-stock orders are normally dispatched within one working day after order acceptance.
Delivery to England is usually the next working day after dispatch; please allow 1–2 working days in transit.
Working days are Monday to Friday, excluding bank holidays. Delivery times are estimates, not guaranteed dates. Delivery estimates for Scotland, Wales, Northern Ireland and islands are confirmed separately. For products not in stock, contact us for the current lead time before ordering.
Availability and delivery estimates are not guaranteed unless we expressly agree a delivery date in writing. You are responsible for providing a complete delivery address, an authorised recipient and any site-access information. We may contact you where a product needs special handling or cannot be supplied using the selected service.
Risk of loss or damage passes to your organisation when the goods are delivered to the stated delivery address. Ownership passes only when we have received payment in full for those goods.
6. Inspection, damage and defects
Inspect each delivery promptly. Report visible damage, an incomplete delivery, an incorrect product or a suspected temperature excursion as soon as reasonably practicable. Include the order number, catalogue number and available photographs or temperature evidence. Do not use, discard or return affected goods until we provide instructions. A defect that was not reasonably apparent on delivery should be reported promptly after discovery.
7. Cancellations and returns
Contact us promptly if you wish to change or cancel an order. A change or cancellation is effective only when we confirm it and may not be possible after acceptance, allocation or dispatch. Do not return any product without our return authorisation and instructions.
Because product integrity cannot be verified after dispatch, we do not accept change-of-mind returns of temperature-controlled, opened or specially ordered products. This does not affect remedies for products that are faulty, damaged in transit, misdescribed or supplied in error. Where a return is authorised, keep the product in accordance with its manufacturer storage instructions until collection or return.
8. Research use and customer responsibilities
Products are supplied for laboratory research use only and are not intended for diagnostic, therapeutic or direct human use. Your organisation is responsible for ensuring that trained personnel use, store and dispose of products lawfully, complete its own risk assessments, and validate each product for the intended research application.
9. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. No statement on this website creates a separate product, performance or results guarantee.
10. Events outside our reasonable control
We are not responsible for delay or failure caused by an event outside our reasonable control. We will take reasonable steps to reduce the effect, tell you where an order is materially affected and resume performance when reasonably possible. If we cannot supply goods, we will refund any amount paid for the undelivered goods.
11. Complaints and contact
Email info@directlabsupplies.co.uk with the order number, catalogue number and a clear description of the issue. We normally reply to emails within 24 hours.
12. Governing law
These terms and each contract are governed by English law. The courts of England and Wales have exclusive jurisdiction. If an accepted quotation or order confirmation expressly conflicts with these terms, that document takes priority only for the affected order and only to the extent of the conflict.
